    New Acer laptop mother board.

Can I swap out the mother board with a new replacement without reinstalling Win7. CPU, memory, hard-drive and periferals are good and will be reused!

Maybe, it will depend upon the replacement board. With a similar board make and version number there should be less issue.
You will most likely have issues with drivers, and probably least of all, activation issues with new hardware.
Memory and CPU pale in comparison to a motherboard when it comes to hardware ID for an os.

You should also make provisions for a clean installation in the event that things don't work out, and a call to MS to reactivate.
